Desktop S.A. (“Company”) operates in the telecommunications market, focusing on the provision of internet access via fiber optics. With a history that began in 1997, when Denio Alves Lindo (current shareholder and CEO of the Company) founded Desktop Online Informática, the Company was effectively incorporated in July 2006, and at the end of 2023 it had 1,017 thousand active subscribers¹, operating in 184 cities in the State of São Paulo.
On January 21, 2019, the Company incorporated SigmaBBS Comércio e Informações por Teleprocessamento Ltda., with the objective of initiating the process of consolidation of activities and obtaining greater synergy between the companies belonging to the group’s corporate structure.
In January 2020, the Multistrategy Equity Investment Fund Makalu Brasil Partners IJ (“FIP Makalu”) made an investment in the Company, acquiring 60% of its capital. This investment allowed the acceleration of the Company’s growth pace, which benefited from the relevant experience of its new partner in expansion projects. As a result, the Company’s business development and expansion strategies, organically and inorganically and with a focus on the State of São Paulo, have since been greatly intensified.
Also seeking to simplify its corporate structure, in order to optimize synergies and generate operational efficiency, the Company incorporated its subsidiary DIS Provedor de Serviços de Conexão Internet Ltda. (“DIS”) on May 15, 2020.
In the context of inorganic growth, in August and November 2020 the Company acquired equity interest in ISSO Internet e Telecomunicações Ltda.-ME and Netell Internet Ltda., respectively.
The year 2021 was the most important step in the Company’s history. Following the successful IPO on B3, the Company reached new level in terms of brand positioning and the execution of organic and inorganic growth, consolidating itself as one of the largest ISPs in Brazil, and the absolute leader among ISPs in the State of São Paulo.
On July 21, 2021, the Company went public, carrying out a Public Offering of Primary Distribution (“Offering”)in Brazil, in accordance with CVM Instruction 400, resulting in the distribution of 30,435,000 shares at a price of R$ 23.50 per share (“Price per Share”), totaling R$ 715,222,500.00.
Also in 2021, the Company underwent a corporate reorganization in order to simplify its structure through the merger, by the Company, of three holding companies that held a direct or indirect interest in the Company, namely: Deodoro Participações S.A., Santo Cristo Participações S.A. and DSN Participações S.A. On December 22, 2021, after approval at the Extraordinary General Meeting, the Company underwent a change of corporate name, from Desktop – Sigmanet Comunicação Multimídia S.A. to Desktop S.A.. In addition, at the same EGM, the merger of the entire shareholders’ equity, and consequent extinction, of ISSO Internet e Telecomunicações Ltda. by the Company was approved.
In 2021, the Company completed five acquisitions, namely: Netion Soluções em Internet Via Rádio S.A., in March; C-Lig Telecomunicações S.A, in May; Starnet Telecomunicações Ltda., in August; Net Barretos Participações S.A., in November, and; LPNet Telecomunicações Ltda., Velus Serviços de Comunicações Ltda., Netstyle Comércio de Equipamentos de Informática Ltda., Silva e Silveira Provedor de Internet Ltda. and LPNet Serviços de Cobrança Ltda. (together, “LPNet”), in December.
In 2022, the Company continued to execute its organic and inorganic growth strategy, ending the year with a fiber optic network of 48 thousand kilometers and operations in 145 cities. With regard to the inorganic avenue, in January 2022 the Company completed the acquisition of Infolog TI Tecnologia Ltda and, in December, it completed the acquisition of IDC Telecom.
In the context of simplifying the corporate structure, the Company incorporated, in 2022, the companies Net Barretos and Infolog TI, extinguishing them.
In 2023, the Company completed the acquisition of Cilnet Comunicação e Informática Ltda. (“Fasternet”) and incorporated the companies LPNet, C-lig Telecomunicações S.A., IDC Telecom, Netion Soluções em Internet Via Rádio and Netell Internet Ltda, consequently extinguishing them. In addition, on March 21, 2023, the private capital increase process was concluded, resulting in 27,780,979 (twenty- seven million, seven hundred and eighty thousand, nine hundred and seventy-nine) new Shares issued by the Company, at the issue price of R$ 9.00 per Share, totaling an investment of R$ 250,028,811.00 (two hundred and fifty million, twenty-eight thousand eight hundred and eleven reais), of which R$ 50,000,000.00 (fifty million reais) were allocated to the capital reserve account and the remainder to the capital account.
